1. Agreement to Terms

By accessing or using Juant.io(the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all visitors, users, and others who access the Service.

2. Description of Service

Juant.io is a multi-tenant SaaS platform that helps businesses manage ESG (Environmental, Social, and Governance) questionnaires, supplier evidence collection, and audit readiness. Features include AI-powered document extraction, supplier invite portals, and compliance reporting tools.

3. Accounts and Registration

To access certain features you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at legal@juant.io if you suspect unauthorised use.

4. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable law.
Attempt to gain unauthorised access to any part of the Service or its infrastructure.
Upload or transmit malware, viruses, or any other malicious code.
Scrape, crawl, or extract data from the Service by automated means without our prior written consent.
Impersonate any person or entity or misrepresent your affiliation.
Interfere with or disrupt the integrity or performance of the Service.

5. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Juant.io and its licensors. Our trademarks may not be used in connection with any product or service without prior written consent.

You retain ownership of all data and content you upload to the Service. By uploading content, you grant Juant.io a limited, non-exclusive, royalty-free licence to process, store, and display your content solely for the purpose of providing the Service to you.

6. Subscriptions and Billing

Certain features require a paid subscription. Subscriptions are billed in advance on a monthly or annual basis through our payment processor, Paddle. By subscribing, you authorise us to charge your payment method on a recurring basis until you cancel. Prices are subject to change with 30 days' notice.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy, which describes how we collect, use, and share information about you when you use our Service.

8. Third-Party Services

The Service integrates with third-party services (including Anthropic AI APIs, Cloudflare R2, Resend, and Paddle). Your use of those services is subject to their respective terms and privacy policies. Juant.io is not responsible for the practices of those third parties.

9. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Juant.io does not warrant that the Service will be uninterrupted, error-free, or free of viruses.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Juant.io and its affiliates, officers, employees, agents, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your access to or use of (or inability to access or use) the Service.

11. Termination

We may suspend or terminate your account and access to the Service at our sole discretion, without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service will cease immediately.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

13. Changes to Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by posting the new Terms on this page and updating the effective date. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
